An important area of our activity is the comprehensive transactional advice we provide to both domestic and foreign entities.

Our range of services includes, among others:

conducting a full legal analysis (due diligence) to identify legal risks and their impact on the transaction,
advising on the selection of the most favourable transaction model taking into account the results of the due diligence and the economic interests of the transaction party, also in terms of taxation,
preparation of transaction documents which are necessary at each stage of the transaction, such as, but not limited to: letters of intent, non-disclosure agreements (NDA), share purchase agreements (SPA), documentation concerning material or personal securities,
client support at every stage of the negotiation and completion of the transaction,
post-transaction counselling, including with respect to the fulfilment of obligations arising from transaction documentation.

We advise at every stage of the transaction: in planning its structure and timing, taking into account corporate and tax aspects, as well as in the course of the transaction and its completion.

We safeguard the client’s interests throughout the transaction and post-transaction process, working with all parties to the transaction, including banks or financial institutions.

We introduce foreign investors to the intricacies of Polish law, and we help Polish entrepreneurs investing abroad to find their way in a foreign legal reality, ensuring optimal protection of their interests.

Each project is handled by a team of experienced transactional lawyers and tax advisors. For foreign transactions or those involving foreign law, we also use the support of investment advisers and foreign law firms.
